Agreement to Terms

By accessing or using sophon.capital ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

Description of Service

Sophon Capital provides an AI-powered pitch deck analysis service. When you submit a deck, our system generates an automated "First Look" analysis using artificial intelligence. This analysis is provided for informational purposes only and does not constitute investment advice, a commitment to invest, or any form of financial recommendation.

User Responsibilities

By using the Service, you represent and warrant that:

• You own or have the right to submit all content you provide, including pitch decks
• Your submission does not infringe on any third-party intellectual property rights
• Information you provide is accurate and not misleading
• You will not use the Service for any unlawful purpose
• You will not attempt to circumvent rate limits or abuse the Service

Intellectual Property

Your Content: You retain all rights to the pitch decks and materials you submit. By submitting content, you grant Sophon Capital a limited, non-exclusive license to process your content for the purpose of providing the analysis service and evaluating potential investment opportunities.

Our Content: The Service, including its design, analysis methodology, and generated reports, is owned by Sophon Capital. You may use the analysis we provide for your own internal purposes but may not redistribute or resell it.

No Investment Advice

The analysis provided by the Service is generated by artificial intelligence and is not investment advice. Sophon Capital makes no guarantees about the accuracy, completeness, or usefulness of any analysis. The "investor ready score" and other metrics are algorithmic assessments, not predictions of investment outcomes. You should not make business decisions based solely on our automated analysis.

No Guarantee of Investment

Submission of a deck through the Service does not guarantee that Sophon Capital will invest in your company or respond to your submission. We review submissions at our sole discretion and are under no obligation to provide feedback, schedule meetings, or make investment decisions within any timeframe.

Confidentiality

We treat submitted pitch decks as confidential business information. We will not share your deck with third parties outside of our investment evaluation process, except as required by law or as necessary to provide the Service (e.g., AI model providers for analysis). However, we cannot guarantee absolute confidentiality and you submit materials at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOPHON CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Indemnification

You agree to indemnify and hold harmless Sophon Capital and its affiliates, officers, and employees from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
